Terms of Service

These Terms of Service (Terms) are a legal agreement between you and Team You, Inc., a Nevada corporation (TeamYou, we, us, or our), and govern your access to and use of the TeamYou website, applications, software, tools, AI-powered features, and related services (collectively, the Service).

By creating an account, clicking to accept these Terms, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Acceptance, Eligibility, and Export Controls

You may use the Service only if you can form a binding contract with TeamYou and are at least 13 years old. If you are under the age of majority where you live, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf and is responsible for your use of the Service.

The Service is not directed to children under 13. If we learn that we have collected personal information from a child under 13 without verifiable parental consent, we will delete that information promptly. If you believe a child under 13 has provided personal information to us, please contact us at privacy@teamyou.ai.

If you use the Service on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms, and “you” includes both you and that organization.

You may not use the Service if:

  • doing so would violate any applicable law or regulation;
  • you are located in, ordinarily resident in, or a national of a country or territory subject to U.S. embargoes or comprehensive sanctions, to the extent prohibited by applicable law;
  • you are on any U.S. government list of prohibited or restricted parties; or
  • you will use the Service in violation of applicable export control or sanctions laws.

The Service is not designed for or intended to be used for processing protected health information (PHI) as defined by HIPAA, educational records subject to FERPA, payment card data subject to PCI-DSS, or other data subject to specific sectoral regulatory frameworks that require specialized data handling agreements. If you are subject to such regulations, you must not use the Service to process regulated data unless you have entered into a separate written agreement with TeamYou expressly permitting such use.

You are responsible for complying with all laws that apply to your use of the Service.

2. Description of the Service and Beta Features

TeamYou is an AI-assisted personal knowledge management and productivity platform. The Service may help you organize information, connect third-party accounts, generate summaries and drafts, retrieve and structure content, and support workflows using third-party AI providers and integrations.

The Service evolves over time. We may add, modify, suspend, or discontinue any part of the Service at any time, with or without notice, as permitted by law. Feature availability may vary by plan, geography, integration availability, or provider constraints.

Some features may be labeled beta, preview, experimental, early access, or similar (Beta Features). Beta Features may be incomplete, unstable, or unavailable, may contain errors, and may be changed or removed at any time without notice. Beta Features are provided as is and may be subject to additional limits or separate terms.

3. Accounts and Account Security

You may need to create an account to use some or all of the Service. You agree to provide accurate, current, and complete information and to keep it updated.

You are responsible for:

  • maintaining the confidentiality of your login credentials;
  • all activities that occur under your account; and
  • promptly notifying us at support@teamyou.ai if you believe your account has been accessed without authorization or compromised.

You may not share your account credentials or permit others to use your account in a way that exceeds your plan limits or undermines the intended use of the Service.

We may suspend or terminate your account if we reasonably believe your account is being used unlawfully or in violation of these Terms, your use creates security, legal, or operational risk, or information you provided is false or misleading.

4. Acceptable Use

You agree not to use the Service, or permit others to use the Service, to:

  • violate any law, regulation, court order, or third-party right;
  • infringe, misappropriate, or otherwise violate intellectual property rights, privacy rights, publicity rights, confidentiality obligations, or other proprietary rights of any person;
  • upload, submit, connect, store, process, or share content or data unless you have all necessary rights, permissions, and consents to do so;
  • stalk, harass, threaten, abuse, defame, exploit, or harm any person;
  • engage in illegal surveillance, unauthorized monitoring, doxxing, or attempts to track, profile, or identify someone in violation of applicable law;
  • generate, distribute, or facilitate fraudulent, deceptive, or misleading content, including deceptive impersonation or passing off AI-generated content as a real person, source, endorsement, or record when that would mislead others;
  • develop, distribute, or facilitate malware, phishing, spam, credential theft, or other harmful or abusive activity;
  • interfere with or disrupt the integrity, security, or performance of the Service or related systems;
  • probe, scan, test, or attempt to discover vulnerabilities, safeguards, models, prompts, system instructions, or underlying components of the Service without prior written authorization from TeamYou;
  • attempt prompt injection, model manipulation, extraction of hidden instructions, bypass of safety filters, unauthorized access, excessive scraping, or any other security testing of the Service or connected systems;
  • access or act on third-party accounts, data, or systems through the Service without proper authorization;
  • use outputs from the Service as the sole basis for high-risk, consequential, or rights-affecting decisions without meaningful independent human review;
  • use the Service in connection with emergency response, medical diagnosis or treatment, professional legal advice, employment decisions, credit or lending decisions, housing decisions, insurance decisions, child safety determinations, or other safety-critical applications;
  • resell, sublicense, lease, white-label, or otherwise make the Service commercially available to third parties except as expressly authorized by TeamYou in writing;
  • circumvent usage limits, access controls, or plan restrictions; or
  • encourage or assist anyone else to do any of the above.

We may investigate violations and may remove content, suspend access, or terminate accounts if we reasonably believe these Terms have been violated or as required by law.

5. AI-Generated Content

In these Terms, User Content means content, data, files, prompts, and information you submit to the Service. Outputs means content generated by the Service in response to your User Content.

5.1 Third-Party AI Providers

TeamYou integrates with third-party AI language model providers, including Anthropic, OpenAI, and others (AI Providers). TeamYou does not operate its own AI models. Each AI Provider is subject to its own terms of service and privacy policy.

5.2 Output Limitations

Because the Service uses third-party AI systems:

  • outputs may be inaccurate, incomplete, outdated, biased, offensive, or otherwise unsuitable for your purpose;
  • outputs may not be unique — other users or third parties may receive similar or identical outputs;
  • model providers, model versions, and related tools may change over time, which may affect output quality, style, accuracy, availability, and feature behavior; and
  • some features may depend on third-party systems outside our control and may become unavailable if those systems change.

You must use your own judgment. You are responsible for reviewing and evaluating any output before relying on it or acting on it. The Service is not a substitute for professional judgment or independent review. TeamYou does not guarantee that any output will be accurate, available, non-infringing, exclusive, or fit for your particular purpose.

5.3 Prohibited High-Risk Uses

Without limiting the above, you may not use the Service or its outputs as the basis for decisions involving:

  • emergency or crisis response;
  • medical, mental health, or clinical advice;
  • legal advice or legal filings;
  • employment, education, or admission decisions;
  • credit, lending, insurance, or housing decisions;
  • law enforcement or public safety matters;
  • child safety or custody matters; or
  • any situation where an inaccurate output could cause death, bodily injury, unlawful discrimination, significant financial harm, or other serious consequences.

5.4 Sensitive Data

Use extra caution when submitting sensitive information. If you choose to include health, financial, legal, biometric, government-identification, or children’s data in your prompts or connected accounts, you do so at your own risk.

5.5 Your Responsibilities

You are responsible for:

  • the prompts, instructions, files, and data you submit;
  • ensuring you have the rights and permissions to use that material with the Service and any connected third-party services; and
  • your use of outputs, including ensuring your use does not violate applicable law or third-party rights.

5.6 Training and Processing

TeamYou does not use your User Content to train its own AI models. Because the Service relies on third-party AI providers, your use of certain features may involve processing by those providers as described in our Privacy Policy and the applicable provider terms.

6. User Content and Intellectual Property

6.1 Your Content

As between you and TeamYou, you retain ownership of the content, data, files, prompts, materials, and information you upload, submit, connect, store, or otherwise make available through the Service (User Content).

Subject to your compliance with these Terms, and to the extent permitted by applicable law, you also own any rights you may have in outputs generated for you by the Service based on your use (Outputs). TeamYou does not claim ownership of your User Content or Outputs. TeamYou does not guarantee that Outputs are non-infringing, exclusive, or error-free.

6.2 License You Grant to TeamYou

You grant TeamYou a limited, non-exclusive, worldwide, royalty-free license to host, copy, transmit, process, reproduce, adapt, and use your User Content solely as necessary to:

  • provide, operate, maintain, and improve the Service for you;
  • authenticate and support integrations and connected accounts;
  • secure the Service and prevent fraud, abuse, and misuse;
  • troubleshoot, debug, monitor, and fix errors;
  • perform backup, disaster recovery, and business continuity activities;
  • process billing and administer your account;
  • comply with law, legal process, or lawful government requests; and
  • investigate and enforce these Terms and protect the rights, property, and safety of TeamYou, our users, and others.

This license ends when your User Content is deleted from the Service, except to the extent it has been shared by you with others through the Service, must be retained for legal, security, fraud-prevention, audit, backup, or compliance purposes, or remains in routine backup systems for a limited period pending deletion.

6.3 Aggregated and De-identified Data

We may generate de-identified, aggregated data about how users interact with the Service (such as usage patterns, feature performance, and error rates). This aggregated data does not identify you personally, and we may use it to operate, maintain, and improve the Service.

6.4 Your Promises About User Content

You represent and warrant that:

  • you own or control all rights necessary to submit, connect, and use your User Content with the Service;
  • you have obtained any required notices, permissions, and consents from third parties whose information is included in your User Content;
  • your User Content and your use of the Service will not violate these Terms, any applicable law, or any third-party rights; and
  • you will not submit content that you know is unlawful, deceptive, or harmful.

6.5 TeamYou’s Right to Remove Content

We may remove, disable access to, or decline to process User Content if we reasonably believe it violates these Terms, applicable law, or third-party rights, or if we receive a valid legal order requiring us to do so.

6.6 TeamYou’s IP

The Service, including its software, interface, design, branding, workflows, and all related intellectual property other than your User Content and Outputs, is owned by TeamYou or its licensors. Nothing in these Terms transfers ownership of TeamYou’s intellectual property to you.

6.7 Feedback

If you provide feedback, suggestions, or ideas about the Service, you assign to TeamYou all rights, title, and interest in that feedback, and we may use it without obligation, restriction, attribution, or compensation to you.

7. Copyright and DMCA

TeamYou respects intellectual property rights and expects users to do the same. If you believe content stored on the Service infringes your copyright, please send a written notice to our designated DMCA agent containing:

  1. A description of the copyrighted work you claim has been infringed;
  2. Identification of the material you claim is infringing and its location on the Service;
  3. Your name, address, telephone number, and email address;
  4. A statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law;
  5. A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on its behalf.

We will process compliant notices in accordance with the DMCA and will terminate accounts of repeat infringers in appropriate circumstances. Counter-notices may be submitted in accordance with 17 U.S.C. Section 512(g).

8. Third-Party Services and Integrations

TeamYou integrates with third-party services including Google Workspace (Calendar, Gmail, Drive), AI Providers, and others (Third-Party Services). By connecting a Third-Party Service to TeamYou, you authorize TeamYou to access, retrieve, process, and — where you request it — act on your behalf within your connected accounts, including sending emails, creating or modifying calendar events, and managing files, as necessary to provide the functionality you request. TeamYou will act within your connected accounts only in response to your explicit instruction, configuration, or workflow invocation, and only within the permissions you have granted through the connected service. TeamYou will not take actions in your connected accounts autonomously or beyond the scope of what you direct.

Your use of Third-Party Services is subject to their respective terms of service and privacy policies. You are responsible for maintaining the necessary permissions and for complying with the terms of any Third-Party Services you connect to TeamYou. TeamYou is not responsible for the availability, accuracy, conduct, or actions of any Third-Party Service.

Service interruptions or errors caused by Third-Party Service providers do not constitute a breach of these Terms by TeamYou. TeamYou may suspend or remove integrations with any Third-Party Service at any time and without liability to you. You are responsible for reviewing the recipients, content, event details, file destinations, and other parameters of any action you direct TeamYou to take within a connected account before requesting execution. TeamYou is not responsible for consequences resulting from actions you instruct it to perform.

9. Subscriptions and Billing

Plans

TeamYou offers free and paid subscription plans. Paid plans are billed on a recurring basis (monthly or annually) as selected at the time of purchase.

Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method on file for each renewal period.

Failed Payments

If payment fails, we will notify you and may retry the charge. If payment is not successfully collected within a reasonable time, your access to paid features may be downgraded or suspended until payment is resolved. We are not liable for any loss of access, data, or functionality resulting from non-payment.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features through the end of the period for which you have already paid.

Refunds

If you are not satisfied with TeamYou, you may request a full refund within 30 days of your first subscription purchase by contacting us at support@teamyou.ai. This guarantee applies to your first subscription purchase only. Renewals and subsequent purchases are non-refundable.

Taxes

Subscription fees are exclusive of any applicable taxes. You are responsible for any taxes imposed on your use of the Service.

Price Changes

We may change subscription pricing with at least 30 days notice by email or in-app notification. If you do not agree to the new pricing, you may cancel your subscription before the effective date. For annual plans, we will provide a pro-rata refund for any prepaid period affected by the price change if you cancel within 30 days of the price change notice.

10. Termination and Data After Termination

By You

You may terminate your account at any time by contacting us at support@teamyou.ai or using account deletion features within the Service.

By TeamYou

We may suspend or terminate your account immediately if:

  • you materially breach these Terms;
  • we are required to do so by law; or
  • we reasonably believe continued access poses risk to the Service, other users, or third parties.

For other discretionary terminations not involving the above grounds, we will provide at least 7 days notice by email where practicable.

Effect of Termination

Upon termination, your license to use the Service ends and you must cease using the Service.

Data After Termination

Following account deletion or termination, we will delete or de-identify your User Content in accordance with our Privacy Policy, generally within 30 days, except that we may retain data that: (a) has been shared with others through the Service; (b) we are required to retain by law or legal process; (c) is needed for security, fraud prevention, or dispute resolution; or (d) remains in routine backup systems pending scheduled deletion.

You are responsible for exporting any data you wish to retain before closing your account. TeamYou is not liable for any loss of User Content following account termination.

Survival

Provisions that by their nature should survive termination — including intellectual property rights, disclaimers, limitation of liability, indemnification, and governing law — will continue to apply after termination.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED AS IS AND AS AVAILABLE WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, RELIABILITY, OR FITNESS FOR ANY PURPOSE OF ANY CONTENT, DATA, OR AI-GENERATED OUTPUT WITHIN THE SERVICE.

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TEAMYOU SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL TEAMYOU’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL FEES YOU PAID TO TEAMYOU IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $10 IF YOU HAVE NOT PAID ANY FEES.

THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED — WHETHER IN CONTRACT, TORT, STATUTE, OR OTHERWISE — AND EVEN IF TEAMYOU HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

The limitations in this Section do not apply to liability that cannot be excluded or limited under applicable law, or to liability arising from TeamYou’s gross negligence, willful misconduct, or fraud.

You agree that any breach of these Terms by you could cause irreparable harm to TeamYou for which monetary damages would be an inadequate remedy, and that TeamYou may seek injunctive or other equitable relief in any court of competent jurisdiction without the requirement to post bond. Nothing in these Terms, however, entitles you to injunctive or other equitable relief requiring TeamYou to provide, continue, or restore access to the Service.

13. Indemnification

You agree to indemnify and hold harmless Team You, Inc. and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys fees) arising out of or related to: (a) your violation of these Terms; (b) your infringement or misappropriation of any third-party intellectual property, privacy, or publicity rights through your use of the Service; or (c) your violation of any applicable law in connection with your use of the Service.

You will promptly notify TeamYou of any claim subject to indemnification. TeamYou reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you. You may not settle any claim that imposes liability, obligation, or restriction on TeamYou without our prior written consent.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Nevada, without regard to its conflict of law principles. Any disputes arising under or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Nevada, and you consent to personal jurisdiction and venue in those courts.

To the fullest extent permitted by applicable law, any claim or cause of action arising from or related to these Terms or the Service must be brought within one (1) year after the claim accrues. Claims not brought within this period are permanently barred.

15. Electronic Communications

By creating an account or using the Service, you consent to receive communications from TeamYou electronically, including by email and in-app notifications. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing, to the fullest extent permitted by applicable law.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through a prominent notice within the Service at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service before the effective date and may request account deletion in accordance with Section 10.

17. Force Majeure

TeamYou is not responsible for any failure or delay in performing its obligations under these Terms to the extent caused by circumstances beyond our reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, riots, governmental actions, internet or infrastructure outages, third-party service failures, or labor disputes. During any such event, our obligations will be suspended for the duration of the event.

18. California and EU/EEA Privacy Rights

California Residents

If you are a California resident, you have the right to know what personal information we collect, request deletion of your personal information, and opt out of the sale of your personal information. TeamYou does not sell your personal information. To exercise your rights, contact us at privacy@teamyou.ai. Full details are in our Privacy Policy.

EU/EEA Residents

If you are located in the European Union or European Economic Area, Team You, Inc. acts as the data controller for your personal data. You have the right to access, correct, delete, restrict, or object to the processing of your personal data, and the right to data portability. To exercise your rights, contact privacy@teamyou.ai. 19. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TeamYou regarding the Service and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions remain in full force.

No Waiver

Failure by TeamYou to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. TeamYou may assign its rights and obligations without restriction, including in connection with a merger, acquisition, or sale of assets.

Headings

Section headings are for convenience only and do not affect the interpretation of these Terms.
